PUREFI TECH INC. — TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the PureFi Tech Inc. website, mobile applications, APIs, and related services (collectively, the "Services"). These Terms constitute a binding legal agreement between you and PureFi Tech Inc. ("PureFi," "us," "we," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
In these Terms, the following capitalized terms have the meanings set forth below:
- "Account" means your registered access to the Services.
- "Asset" means digital assets, stablecoins, tokens, cryptocurrencies, or similar instruments.
- "KYC" means Know Your Customer verification required for compliance.
- "Wallet" means a digital address, key, or account used to record and transact blockchain assets.
- "Third-Party Provider" means any outsourced service provider, including payment processors, off-ramp/on-ramp providers, smart contract hosts, custodial infrastructure providers, or compliance platforms.
2. Acceptance and Scope
2.1 Agreement. These Terms apply to all aspects of your access to and use of the Services, whether through web, mobile, API, or other interfaces.
2.2 Modification. We may modify these Terms at any time. If we make material changes, we will notify you via email or in-app notice. Your continued use after changes means acceptance.
3. Eligibility and Jurisdiction
3.1 Age and Capacity. You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
3.2 Jurisdictional Restrictions. Access to the Services may be restricted in certain jurisdictions. We may refuse access based on your location, regulation status, or in compliance with applicable laws.
3.3 Geographic Availability. The Services are currently offered in the United States, Canada, and European jurisdictions where permitted.
3.4 Compliance. You agree to provide accurate information for KYC, AML (anti-money laundering), and any regulatory checks we require.
4. Account Creation and Maintenance
4.1 Registration. To access certain Services, you must register an Account with your email and password.
4.2 Verification. You must complete identity verification. Failure to complete verification may restrict functionality.
4.3 Security. You are responsible for keeping your credentials and access secure. Do not share your password or authentication codes.
4.4 Account Changes. You agree to promptly update information to keep it accurate and complete.
4.5 Account Suspension/Termination. We may suspend, restrict, or terminate your Account for violations of these Terms, regulatory requirements, fraud prevention, or as required by law.
5. Description of Services
5.1 Digital Wallet. PureFi may provision a USDC wallet for use within the Services to hold digital assets on your behalf or for your benefit.
5.2 On-Ramp/Off-Ramp. The Services may support conversion between fiat currency and digital assets through Third-Party Providers.
5.3 Transfers and Remittances. You may send and receive digital assets via the Services subject to compliance controls.
5.4 Yield and Rewards. The Services may provide access to programs that generate yield or rewards. These may change over time and are subject to risk.
5.5 Third-Party Integrations. The Services may integrate with smart contracts, blockchain networks, and Third-Party Providers.
6. Third-Party Services and Risk
6.1 Third-Party Providers. The Services utilize Third-Party Providers for on/off ramps, remittances, custody, blockchain infrastructure, and compliance. We do not control the operations of Third Parties.
6.2 Smart Contracts. Use of smart contracts involves inherent risk, including but not limited to bugs, exploits, network disruptions, consensus failures, or protocol changes. You accept these risks.
6.3 Network Delays. Transactions on blockchain networks may be delayed or subject to blockchain fees.
6.4 No Warranty of Third Parties. We do not warrant availability, performance, or terms of Third-Party Providers.
7. User Representations and Responsibilities
By using the Services, you represent and agree:
7.1 You will comply with all applicable laws.
7.2 You will not use the Services for illegal activity.
7.3 You will cooperate with verification and compliance requests.
7.4 You will not misuse, exploit, or attack the Services.
7.5 You understand blockchain transactions are irreversible.
7.6 You are responsible for fees, network costs, and any taxes associated with your activity.
8. Fees and Billing
8.1 Fees. PureFi may charge fees for Services. Fee schedules will be disclosed in the app or website.
8.2 Changes. We may add, change, or discontinue fees at any time.
8.3 Billing. You agree to pay all fees incurred through your Account.
9. Losses, Disclosures, Risk, and Disclaimer
9.1 Risk Acknowledgment. You acknowledge that digital assets, stablecoins, and blockchain activities carry risk, including volatility, loss of value, loss of access, regulatory impact, smart contract failure, and custodial risk.
9.2 No Investment Advice. Nothing in these Terms constitutes investment, financial, tax, or legal advice. PureFi is not a fiduciary. You make all decisions at your own risk.
9.3 No Guarantee of Yield. Programs that provide yield or rewards are not guaranteed.
9.4 No Warranty. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
10. Non-Bank Status and Insurance Disclosures
10.1 Not a Bank. PureFi is not a bank or financial institution and does not provide banking services.
10.2 No FDIC/SIPC. Digital assets held through the Services are not FDIC or SIPC insured.
10.3 Not a Custodian Bank. The Services may utilize Third-Party Providers for asset holding.
11. Privacy
11.1 Privacy Policy. Our Privacy Policy governs collection, use, and disclosure of personal data.
11.2 Cookies. We may use cookies and tracking technologies as described in our Cookie Policy.
11.3 Data Retention. We retain data as required for regulatory compliance.
12. Intellectual Property
12.1 Ownership. All Content, designs, trademarks, software, and technology associated with the Services are our property or licensed.
12.2 Restrictions. You may not copy, modify, distribute, sell, lease, reverse engineer, or use our intellectual property without permission.
13. Termination
13.1 We may suspend, restrict, or terminate your access at any time for any reason permitted by these Terms.
13.2 Upon termination, you may retain the right to withdraw eligible assets as permitted by applicable law.
14. Indemnification
You agree to indemnify and defend PureFi against any claims arising from:
- Your use of the Services
- Your violation of these Terms
- Your breach of law
- Your misuse or unauthorized activity
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
15.1 PUREFI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
15.2 PUREFI'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- US$100
- Amounts paid to PureFi in the prior 12 months.
16. Dispute Resolution and Arbitration
16.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
16.2 Arbitration. Except for small claims court matters, disputes will be resolved through binding arbitration under the American Arbitration Association.
16.3 Class Waiver. You agree to waive any right to participate in a class action.
